Terms & Conditions of Service

1. Scope Of Agreement and Eligibility
This agreement is between TruGenix (“the Company”) and you (“the Customer”). By accessing this website and ordering a laboratory test, you enter into a legally binding contract governed by these Terms.
- Eligibility: You represent and warrant that you are at least 18 years of age and possess the legal authority to enter into this agreement.
- Business Identification (Imprint): Detailed company registration, VAT identifiers, and contact information are provided in the “Imprint” section of this website and are incorporated herein by reference.
2. Acceptable Use of Free Services
Users of the Company's free tools (including breeding records and animal profiles) must not:
- Upload unlawful, misleading, or infringing content
- Use the platform for commercial scraping or data harvesting
- Circumvent technical safeguards or access controls
The Company reserves the right to suspend or terminate accounts that materially violate these rules.
3. Declaration of Legal Status & Burden of Proof
The Company maintains a strict policy regarding animal welfare and legality.
- Warranty of Legality: You represent and warrant that any animal for which a sample is submitted was obtained and is currently held in full compliance with all local, national, and international laws, including but not limited to applicable CITES (Convention on International Trade in Endangered Species) regulations.
- Burden of Proof: The burden of proof regarding the legal origin and status of the animal rests solely with you. You agree to provide documentation of legal acquisition immediately upon request by the Company or relevant authorities.
- Right to Refuse: The Company reserves the right to refuse service and, where legally required or reasonably justified, report the matter to the relevant authorities.
4. Prices, Taxation, and B2B Sales
- Pricing: All prices are as displayed at the time of purchase.
- VAT (B2C): For private individuals within the EU, prices include VAT at the rate applicable in the destination country (processed via the EU Union One-Stop Shop).
- VAT (B2B): For business customers with a valid EU VAT identification number, the “Reverse Charge” mechanism applies. No VAT will be charged at checkout, and the business customer is responsible for reporting VAT in their respective country.
- Price Transparency: Any price reductions displayed reflect the lowest price offered for the service during the 30-day period preceding the reduction, in accordance with EU Directive 2019/2161.
- Non-EU Customers: For customers located outside the European Union, prices are exclusive of EU VAT. Any applicable import taxes, customs duties, or local taxes are the sole responsibility of the customer.
5. Shipping, Packaging, and Biological Safety
Users are responsible for the legal and safe transport of all samples to the Company's designated laboratory.
- Genetic & Sexing Tests (Exempt): Most sheds and dry swabs are classified as ‘Exempt Animal Specimens.’ You must ensure these are double-contained (e.g., a sealed bag wrapped within your paper order form) before being placed in a sturdy outer envelope. The exterior must be marked: “EXEMPT ANIMAL SPECIMEN – NO COMMERCIAL VALUE”.
- Health & Pathogen Tests (Category B): Any sample involving feces or suspected pathogens must comply with UN3373 Category B standards, including a primary receptacle, leak-proof secondary packaging with absorbent material, and a rigid outer box labeled “BIOLOGICAL SUBSTANCE, CATEGORY B”.
- Liability: The Company accepts no liability for samples damaged or lost due to non-compliant packaging. You remain solely responsible for any damage or cleaning costs incurred by postal carriers due to leaking or incorrectly declared samples.
6. Right of Withdrawal & Express Request for Performance
- Withdrawal Period: If you are a consumer within the EU, you have a statutory right to withdraw from this contract within 14 days from the date of conclusion.
- Express Request for Immediate Performance:
By submitting a biological sample to the Company, you expressly request that the Company begin performance of the laboratory service during the withdrawal period. - Consequences of Withdrawal After Performance Has Begun:
If you withdraw after the Company has commenced performance at your request, you acknowledge that you are liable to pay the proportionate cost of the service corresponding to the actions already performed (including, but not limited to, sample accessioning, preparation, extraction, sequencing, or analysis). - Loss of Right of Withdrawal Upon Full Performance:
Once the laboratory service has been fully performed, your right of withdrawal is lost in accordance with applicable consumer protection law.
7. Limitation of Liability & Diagnostic Disclaimer
- Non-Diagnostic: The services provided are for screening and informational purposes only. They do not constitute a formal veterinary diagnosis.
- Liability Cap: To the maximum extent permitted by law, the Company's total liability for any claim shall not exceed the amount paid for the specific test purchased.
- Force Majeure: The Company is not liable for failures or delays caused by events beyond its reasonable control, including postal strikes, technical infrastructure failures, or pandemics.
- Mandatory Liability: Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, intent, or personal injury.
8. Intellectual Property & Usage Rights
- Ownership: The methodology, database, and report formats remain the intellectual property of the Company.
- License to Use: All customers are granted a perpetual, non-exclusive license to use and display their test results.
- Breeder Rights: Business users (breeders/shops) are expressly permitted to share and display results to their own clients to verify the health or genetics of the specific animal tested.
- Prohibition: Users may not use Company reports to build competing databases or resell raw data as a standalone service.
9. Governing Law and Dispute Resolution
- Governing Law: These Terms are governed by the laws of Sweden.
- Consumer Caveat: If you are a consumer, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of residence.
- Jurisdiction: For business customers (B2B), the courts of [Stockholm,] Sweden shall have exclusive jurisdiction. Consumers may bring proceedings in the courts of Sweden or in the courts of the country where they live.
- Alternative Dispute Resolution (ADR): If a dispute cannot be settled directly, EU consumers may access accredited ADR entities via the European Commission's official portal.
10. Final Provisions
- Communications: You agree to receive all contract-related documents, results, and invoices electronically via email.
- Severability: If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force and effect.
- Third-Party Laboratories: The Company provides laboratory services through qualified third-party laboratories within the European Union. The Company remains your contractual counterparty and is responsible for the delivery of the services under these Terms.
- Language: These Terms are drafted in English. In the event of translation, the English version shall prevail.
